Accredited Investor Requirement

Certain investment opportunities offered through Ivystone Capital are available only to accredited investors as defined by the SEC — individuals with a net worth exceeding $1 million (excluding primary residence) or annual income exceeding $200,000 ($300,000 jointly with a spouse) in each of the two most recent years. Investors are responsible for determining their own accredited status.

Investment Structure

Co-investments offered through Ivystone are typically structured as membership interests in limited liability companies ("Ivystone co-investment vehicles") that hold positions in portfolio companies. Investors receive membership interests in these vehicles, not direct equity in the underlying companies. Each vehicle carries its own specific risks and terms, detailed in the applicable offering documents.

Illiquidity

Investments in private companies are inherently illiquid. There is no public market for these securities and none is expected to develop. Investors should be prepared to hold their investment for the duration of the vehicle's life, typically 5–7 years or longer. Ivystone does not guarantee any secondary market or liquidity event.
